Rules on the purchase and sale of goods

1. General Provisions
1.1. These E-shop Rules (hereinafter referred to as the “Rules”) are a legally binding document for the Buyer and Woo Trading, MB, company code 306672876, VAT code LT100016659210, Kalvarijų 160-231, Vilnius tel. +37068979482 (hereinafter referred to as the “Seller”), which sets out the rights and obligations of the Parties.
1.2. The Seller reserves the right to change, modify, or amend these Rules at any time. The Buyer shall be informed of any changes to the Terms and Conditions on the website of the e-shop.

2. Conclusion of the Purchase and Sale Agreement
2.1 The Purchase and Sale Agreement between the Buyer and the Seller shall be deemed to have been concluded when the Buyer forms and submits an order for the goods in the online store, having first read and understood these Rules.

3. Seller’s rights
3.1.In the event of important circumstances, the Seller may temporarily or completely suspend the operation of the online shop without prior notice to the Buyer.
3.2.If the Buyer attempts to undermine the operation, stability and security of the online shop or violates his/her obligations, the Seller shall have the right to limit or suspend his/her access to the online shop without prior warning.

4. Obligations of the Seller
4.1. The Seller undertakes to make available the services of the e-shop, the conditions of operation of which are set out in these Terms and Conditions.
4.2. The Seller undertakes to deliver the goods purchased by the Customer by the method of delivery chosen by the Customer, in accordance with the conditions laid down in these Terms and Conditions of Purchase and Sale.
4.3 Where, due to unforeseen circumstances, the Seller is unable to deliver the goods ordered in the online shop, the Seller shall have the right to terminate the Sale and Purchase Agreement by notifying the Buyer. The Seller may offer an equivalent product. If the Buyer refuses, the Seller undertakes to refund the money paid within 3 working days.
4.4. If the Buyer exercises the right provided for in Clause 5.2 of the Terms and Conditions, the Seller undertakes to refund the Buyer within 5 (five) working days from the date of receipt of the returned goods.
4.5 The Seller may withhold a refund to the Buyer until the Goods have been returned to the Seller or until the Buyer has provided proof that the Goods have been dispatched to the Seller, whichever is the earlier.

5. Buyer’s Rights
5.1 The Buyer shall have the right to purchase goods in the e-shop in accordance with these Terms and Conditions.
5.2 The Buyer shall have the right to withdraw from the contract for the purchase of goods concluded in the e-shop by notifying the Seller in writing not later than 14 (fourteen) calendar days from the date of delivery of goods.
5.3. The Buyer may only exercise the Buyer’s right as set out in clause 5.2 if the goods have not been damaged or substantially altered in appearance, nor have been used.

6. Obligations of the Buyer
6.1 The Buyer is obliged to pay for the purchased goods and to accept them in accordance with the procedure set out in these Terms and Conditions.
6.2 If the Buyer, at the time of delivery of the goods, refuses to accept the goods without important reasons, the Buyer shall be obliged to bear the costs of returning the goods upon the Seller’s request.
6.3. At the time of delivery of the goods to the Buyer, the Buyer must check the condition of the consignment and the item(s) together with the Seller or the person delivering the consignment.
6.4 By using the online shop, the Buyer confirms that he/she agrees to these Terms and Conditions of Sale and must comply with them.

7. Prices of Goods
7.1 The prices of goods in the online shop are quoted in euros. Prices are inclusive of VAT. Once the order has been confirmed, delivery charges, if any, shall be added to the total amount of the goods.

8. Ordering and payment
8.1.The Customer, after visiting the e-shop, selects the goods he/she likes and puts them in his/her shopping cart. After the shopping cart has been created, the Buyer enters the personal data necessary to complete the order: his/her name, surname, the address to which the goods will be delivered, telephone number and any additional information that may be relevant for the delivery of the goods ordered. The Buyer confirms that he/she has read these Terms and Conditions and confirms the order.
8.3. Payment can be made using Swed, Seb, Luminor, Citadele, Artea bankas, Lithuanian Central Credit Union, Urbo, N26, Revolut, Wise, Perlas e-banking services, Perlas Finance terminals, or by wire transfer to the account of the payment partner, UAB OPAY solutions. Customers can make payments with Visa and Mastercard payment cards. Payments can be made in Euro currency. Payments are processed by UAB OPAY solutions

9. Delivery
9.1 When ordering the Goods, the Buyer must specify the exact delivery address of the Goods.
9.2 The Buyer must take delivery of the Goods himself. If the Buyer is unable to take delivery of the Goods himself but the Goods are delivered to the address specified by the Buyer, the Buyer shall not be entitled to make any claim in respect of the Goods having been delivered to the wrong person.
9.3 The Seller shall deliver the Goods to the Buyer in accordance with the terms specified in the descriptions. The delivery time depends on your location and the method of delivery chosen. Goods shall be dispatched within 2 days of receipt of payment. The delivery deadline is the next 2 days or as specified by the delivery company. Deliveries in Lithuania are made using Omniva and Lpexpress delivery services. Delivery prices vary depending on the delivery area, the weight of the goods and the delivery method chosen. You can see the available delivery prices before you place your order and choose the option that suits you best.
9.4 The characteristics of all goods sold are set out in the description of each product. The Seller shall not be liable for the fact that the colour, shape or other parameters of the goods in the online shop may not correspond to the actual size, shape and colour of the goods due to the characteristics of the monitor used by the Buyer.
9.5.

10. Returns
10.1 Goods of good quality may be returned within 14 days of receipt. The defects of goods sold in poor quality shall be rectified, the poor quality goods shall be replaced and the goods shall be returned in accordance with the provisions of the Civil Code of the Republic of Lithuania.
10.2.When returning goods, the following conditions must be observed:
10.2.1. The returned goods must be in their original packaging in good condition (this clause does not apply in the case of the return of low-quality goods);
10.2.2. the goods must be undamaged by the Buyer;
10.2.3. the goods must be unused, without loss of merchandise appearance: labels must not be damaged, protective films must not have been torn off etc.

(The returned goods must be in the same condition as received by the Buyer (this clause does not apply in the case of returns of low-quality goods);
10.2.4. Returns shall be made in the manner prescribed by the Seller within 14 (fourteen) days from the date of receipt of the goods (this clause does not apply in the case of low-quality goods, in which case the return shall be made within the statutory warranty period).

10.3. Returns and exchanges of goods of suitable quality shall be carried out in accordance with Article 6.22810, Paragraph 1 of the Civil Code;
10.4. Money paid for the Goods which have been accepted by the Customer, but subsequently rejected, shall be refunded to the Buyer’s account no later than within five (5) days from the day of the goods’ return to the Seller, unless otherwise agreed between the Seller and the Customer. Refunds shall be made using the same payment instrument used by the Customer to make the transaction.

11. Final Provisions
11.1 These Terms and Conditions are made in accordance with the laws of the Republic of Lithuania.
11.2 These Terms and Conditions and the relationship between the Parties hereto shall be governed by and interpreted in accordance with the laws of the Republic of Lithuania.
11.3 All disagreements arising from the performance of these Terms and Conditions shall be settled by negotiation. In the event of failure to reach an agreement, disputes shall be settled in accordance with the procedure established by the laws of the Republic of Lithuania.
11.4. The Parties shall be excused from the performance of their obligations hereunder if such performance is prevented due to unforeseeable circumstances beyond the control of the Parties (Force major).

12. Privacy Policy
12.1 The Customer may order goods in the www.mrwoo.lt e-shop:
12.1.1. by registering in the www.mrwoo.lt e-shop – by entering the data requested in the registration;
12.1.2. without registering in the www.mrwoo.lt e-shop.
12.2 When ordering goods by the methods provided for in Clause 12.1 of the Rules, the Buyer shall indicate in the relevant information fields provided by the Seller the Buyer’s personal data necessary for the proper execution of the order: name, surname, exact delivery address, telephone number and e-mail address.
12.3 By accepting these Terms and Conditions, the Buyer agrees to the processing of the Buyer’s personal data provided in point 12.2 for the purposes of the sale of goods/services on the www.mrwoo.lt e-shop, for the purposes of the analysis of the Seller’s activities and for direct marketing.
12.4 By consenting to the processing of the Buyer’s personal data for the purpose of the sale of goods/services in the Seller’s e-shop, the Buyer also consents to the sending of information messages to the e-mail address and telephone number provided by the Buyer in order to fulfil the order of the goods.
12.5 The Buyer undertakes to keep his/her login details secure and to refrain from disclosing them to any person when registering in www.mrwoo.lt e-shop and when placing an order for the goods.
12.6 The Buyer agrees that the personal data that he voluntarily provides in the registration form will be processed in accordance with these rules.
12.7 The Buyer has the right to access his personal data and the right to request the correction, blocking or deletion of incorrect, incomplete, inaccurate personal data by sending an e-mail to mrwoo.lt at info@mrwoo.lt or by calling +37068979482. In this case, the Seller shall immediately comply with the Buyer’s request within 2 working days at the latest.
12.8. The Buyer has the right to obtain information on the sources from which and which of his/her personal data have been collected, the purpose for which they are processed, the recipients to whom they are provided and have been provided for at least the last one year.
12.9. The Buyer has the right to request the rectification, destruction of his/her personal data or the suspension of the processing of his/her personal data other than for retention, where processing is carried out in breach of the provisions of law.
12.10. The Data Controller recognises and respects the right to privacy of each Customer who registers on the www.mrwoo.lt online shop. The Data Controller collects and uses the Buyer’s personal data (name, address, telephone number, e-mail address and other information provided in the registration form of the online store) for the purpose of processing orders for goods or services or for the fulfilment of any other contractual obligations undertaken. By placing an order or registering, the Customer agrees to the Terms and Conditions of Sale and Purchase of Goods, clause 2.3 of which states that by accepting these Terms and Conditions, the Customer agrees to the processing of the personal data provided by the Customer for the purposes of the sale of goods and services in the mrwoo.lt online store, for the purposes of analysis of the activities of the Seller and for the purposes of direct marketing. This also includes the sending of promotional and informational messages, and by registering the Buyer agrees to receive newsletters and similar materials, which the Buyer has the full right to opt out of.
12.11. The Data Controller undertakes not to disclose the Buyer’s personal data to third parties, except for the Data Controller’s partners providing delivery services or other services related to the proper fulfilment of the Buyer’s order. In all other cases, the Buyer’s personal data may only be disclosed to third parties in accordance with the procedure provided for by the legislation of the Republic of Lithuania.
12.12. Personal data shall be processed using secure means to protect such data against unlawful destruction, disclosure or other unlawful acts.
12.13. Personal data that have consented to the use of their data for direct marketing purposes are stored in an active database and used for 2 years for direct marketing purposes. The data of the purchaser is stored for 2 years after the last purchase. After this period, the customer’s data is (automatically) destroyed. The automatic destruction of personal data is supervised by a responsible person.
12.14. In order for the Company to be able to offer the Customer a full range of services in the Online Shop, information is stored on the Customer’s computer (device) with the Customer’s consent Cookies are used to identify the Customer as a previous user of the Online Shop, to collect statistics on the traffic of the Online Shop, information about the shopping cart. The Customer may at any time view which Cookies are stored and may delete some or all of the stored Cookies.

13. OTHER PROVISIONS
13.1.The Company has the right to change, amend or supplement the “Privacy Policy” in whole or in part.
